These Terms of Service (the “Terms”) govern access to and use of Nobori.ai (the “Service”) operated by JOIDY OÜ, registry no. 17057004, VAT EE102772896, Kaupmehe tn 7-120, 10114 Tallinn, Estonia (“Nobori,” “we,” “our,” “us”). By creating an account or using the Service, you (“Customer,” “you”) agree to these Terms.
Nobori.ai provides subscription-based analytics software that helps organizations measure and improve brand visibility within AI-generated search and answer environments.
The Service is offered on a software-as-a-service (SaaS) basis and is intended for business and professional use.
2.1 You must be 18 years or older and authorized to bind your organization.
2.2 You are responsible for all activities under your account and must maintain accurate information.
2.3 We may suspend or terminate accounts for fraud, misuse, or violation of these Terms.
3.1 Plans are billed in advance on a recurring basis through Stripe.
3.2 All prices are shown exclusive of VAT or other taxes, which are added where required.
3.3 Charges appear under the descriptor “JOIDY OÜ – NOBORI.”
3.4 Unless otherwise stated, all fees are non-refundable.
3.5 You may cancel any time; access continues until the end of the current paid period.
4.1 Free trials may be offered at our discretion. When the trial ends, continued use requires upgrading to a paid plan.
4.2 Changing plans may cause immediate prorated adjustments.
5.1 We strive for high uptime but do not guarantee uninterrupted access.
5.2 We may modify, suspend, or discontinue features with notice where reasonably practicable.
5.3 If a core feature is permanently discontinued, you may terminate the subscription and request a prorated refund of unused prepaid fees.
Unless explicitly agreed in writing, Nobori does not guarantee specific outcomes, visibility scores, rankings, or commercial results from use of the Service. AI outputs are inherently probabilistic and subject to change by third-party systems.
You agree not to:
Violation may lead to suspension or termination.
8.1 You retain ownership of all data, prompts, and materials you submit (“Customer Content”).
8.2 You grant Nobori a limited, worldwide, royalty-free license to host, process, and display Customer Content solely to operate and improve the Service.
8.3 We may generate aggregated or anonymized analytics for benchmarking and product improvement. Such data will not identify you.
All software, algorithms, designs, and documentation are owned by Nobori OÜ or its licensors.
No rights are transferred except the limited right to use the Service under these Terms.
Feedback or suggestions you provide may be used freely by Nobori without obligation or attribution.
The Service may rely on or link to third-party services such as Stripe (payments), Google Cloud / Firebase (hosting), and Google Analytics 4 (usage metrics).
Your use of those integrations is subject to each provider’s terms, and we are not responsible for their acts or omissions.
AI-generated results, summaries, or metrics provided by the Service are generated automatically and may contain errors or omissions.
You are solely responsible for evaluating and relying on such information.
12.1 By Customer: You may terminate your subscription any time in the dashboard; cancellation takes effect at the end of the billing cycle.
12.2 By Nobori: We may terminate or suspend access with 30 days’ notice, or immediately for material breach, non-payment, or unlawful use.
12.3 Upon termination, Customer Content is deleted within 30 days except backups required for legal compliance.
12.4 Sections 8–16 survive termination.
Each party must keep the other’s non-public information confidential and use it only to fulfill these Terms.
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, Nobori disclaims all warranties—express, implied, or statutory—including merchantability, fitness for a particular purpose, and non-infringement.
Except for gross negligence or intentional misconduct, Nobori’s total liability under these Terms will not exceed the fees paid by you during the 12 months preceding the claim.
Nobori is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill.
You agree to defend, indemnify, and hold harmless Nobori OÜ or its licensors from any claim or loss arising from your breach of these Terms or misuse of the Service.
We may revise these Terms from time to time.
If changes are material, we will notify you by email or in-app notice at least 7 days before they take effect.
Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of Estonia.
Any disputes will be resolved exclusively by the Harju County Court (Tallinn, Estonia).
